Party A: YIXING LINGTAI ENVIRONMENTAL PROTECTION EQUIPMENT CO., LTD. (Hereafter referred to as ¡°Company¡±) is located in the No. 37, Gaocheng Center Road, Yixing City, Jiangsu Province, and the post code is 214214. Party B: ___________, (Hereafter referred to as ¡°Partner¡±) is located__________________. This contract is made on the __ day of __between __in accordance with principal of Good Faith and Credibility. The ¡°Company¡± designs and produces high-quality environmental protection series machines, aeration series products and complete conventional environmental protection products and equipments. The ¡°Partner¡± is engaged in the marketing, distributes the products to the customer required for the products and protects the users¡¯ rights. The ¡°Company¡± and ¡°Partner¡± agrees the following articles: 1. ¡°Hereby, the ¡°Company¡± appoints the ¡°Partner¡± as the distribution partner in_____District. ¢Å Period: The valid period of this contract will come into effect after signing and extent on yearly base. ¢Æ Retrospection: in the last quarter within the contract period, ¡°Company¡± will prospect operating situation of this annual of its ¡°Partner¡± and will discuss their operating situation to confirm the target of next annual. ¢Ç Continuation: Unless otherwise terminated due to the party 5 of this contract, the valid period of this contract will continue to the next quarter automatically. ¢È Independent agent: The ¡°Partner¡± appointed by the ¡°Company¡± is independent agent. The ¡°Company¡± does not control the operating situation of business, meanwhile, the ¡°Partner¡± also has no rights and can not take any measure to the function and power of the third party authorized by ¡°Company¡± (Except for the first annual of first cooperation). ¢É One year later, both parties will agree whether to determine the ¡°Partner¡± as the exclusive distribution partner in _______. 2. Responsibility of ¡°Company¡±: under the article of this contract, ¡°Company¡± agrees to provide the sale of some products for ¡°Partner¡± in __________(Area). In addition, ¡°Company ¡± still will provide the following support plan for ¡°Partner¡±, which also has the power to amend, change and terminate the support plan, but, the ¡°Company¡± agrees to inform the ¡°Partner¡± of any amendment, change and termination of relevant plan procedure in written. ¢Å Advertising: The ¡°Company¡± provides the advertising support in the ¡°China water supply and water drainage¡± or other medias, and the sales promotion activity for ¡°Partner¡± as per the advertising cooperation plan of the ¡°Company¡±. ¢Æ Technical support: After the contract is signed, the ¡°Company¡± will support reasonable technical support for ¡°Partner¡± and its customers, it also will provide the reasonable technical support by telephone, fax, mail and Website address as required by ¡°partner¡± or its customers as per the technical support procedure of the ¡°Company¡±. ¢Ç Internet: the ¡°Company¡± not only sells the products by the internet, but also sends and receives the document by it, which will manage a reasonable internet interface as per the support plan of internet. ¢È Training: ¡°Company¡± believes that it is one of an important steps of market marketing conducted by ¡°Partner¡± to train the ¡°Partner¡± and its customers correctly, the ¡°Company¡± provides the training for new ¡°Partner¡±, old ¡°Partner¡± and ¡°Partner¡± ¡®s customer. ¢É Bibliography: ¡°Company¡± will provide technical bibliography data for ¡°Partner¡± according to the ¡°Partner¡± bibliography plan and advertising cooperation plan of ¡°Company¡± and inform the ¡°Partner¡± of the amendment of relevant bibliography in written. ¢Ê Sample: The ¡°Company¡± will provide the samples for ¡°Partner¡± to vail the sales promotion of products after the contract comes into effect as per the sample procedure of ¡°Company¡±. Other responsibility of ¡°Company¡±: ¢Ë Information: The ¡°Company¡± will provide the relevant information on market products for ¡°Partner¡± that is redound to the sale work of ¡°Partner¡± market. It also will make great efforts to provide the relevant information on market products for ¡°Partner¡± periodically, but the guarantee on receiving this information by ¡°Partner¡± can not be promised. ¢Ì Trade trace: the relevant demand information (Hereafter referred to as ¡°Trade trace¡± in short) for products received by ¡°Company¡± from the ¡°Partner¡± country will be managed by the ¡°Company¡± and enjoy these information with ¡°Partner¡±. ¢Í Guarantee: the ¡°Company¡± guarantees that all the products will comply with the Chinese standard and industry standard that will come into effect from the products selling date to ¡°Partner¡±, and the products provided by it have one year quality guarantee at least. ¢Î Report: the fiscal year of the ¡°Company¡± is Jan. 1st¡ªDec. 31st, if necessary, the ¡°Company¡± will provide the written report on relevant operational activity of ¡°Partner¡± in any quarter, provide the any other written report except for the ¡°Partner¡± certainly, these reports include: the current and former sale amount of ¡°Company¡± products; current and former financial balance (debt and liability); current and former account payable and account receivable and actual sales amount of products. 3. Responsibility of ¡°Partner¡±: the ¡°Partner¡± agrees to sell the ¡°Company¡¯s products in its sale area as possible as he can. ¢Å Market development: the ¡°Partner¡± shall take advantage of its diligence and technology to sell the ¡°Company¡¯s products in its sale area. ¢Æ Advertising: the ¡°Partner¡± shall make the advertising to the ¡°Company¡± and its products on the trade publication and media publication in its sale area. Before advertising, using the ¡°Company¡± name, brand and products, the ¡°Partner¡± shall obtain the written approval ¡°Company¡±. In order to obtain the fund assistance from the ¡°Company¡± on advertising, it must comply with advertising cooperation plan of ¡°Company¡±. ¢Ç Sales promotion: the ¡°Partner¡± shall promote the name, brand and products of ¡°Company¡± actively in its sale area by the following method; visit the potential customer by the salesmen; promote the name, brand and products of ¡°Company¡± on the meeting, exhibition meeting, industry meeting and in the proper sales book. ¢È Operational report: the ¡°Partner¡± shall submit the written report on marketing activity and sales result of ¡°Company¡± products once a year (At the end of year) at least. ¢É Sales amount: Based on the forecast of ¡°Partner¡±, the ¡°Partner¡± shall agree a Min. Annual sales amount together with the ¡°Company¡±, which shall make great efforts to reach and exceed the Min. Annual sales amount. ¢Ê Continuous improvement: the ¡°Partner¡± shall conduct the continuous improvement for marketing of ¡°Company¡± products, which still shall improve the reorganization for ¡°Company¡± products, customer and the products of its competitor. As one part of continuous improvement procedure of ¡°Partner¡±, it shall recommend the change, supplementary and improvement of ¡°Company¡± products in favor of increasing the products sale in the sales area. ¢Ë In the sales area of competitive products, the ¡°Partner¡± only sells the ¡°Company¡± products exclusively and agrees to purchase all required products form the ¡°Company¡±. ¢Ì Observance of government laws and regulations: the ¡°Partner¡± shall comply with the applicable government laws and regulations in its sales area, such as: current laws and regulations, and other articles that may affect and change the sales of ¡°Company¡± products in its sales area, which shall inform the ¡°Company¡± in written. ¢Í Customer service: the ¡°Partner¡± shall make great effort to provide the high-quality service compatible with the industry standard for customer, the service provided by the ¡°Partner¡± shall reach and exceed the customer demand and be in accordance with the service instruction of ¡°Company¡± to customer. ¢Î Unauthorized usage of intellectual property right: if the unauthorized company, individual and organization use the name, brand, patent and trade confidentiality of ¡°Company¡±, the ¡°Partner¡± shall inform the ¡°Company¡± immediately in written. The written materials also shall include unauthorized company, individual, and the name, address, telephone number and other relevant information of organization to make for distinguishing the unauthorized company, individual and organization. 4. Sales articles and its price The various products of ¡°Company¡± will provide for ¡°Partner¡± at the Min. price (i.e., factory price that is based on the current price of ¡°Company¡±). The ¡°Partner¡± enjoys 88 discounts of Company price; for the sales company that its price exceeds or less than ¡°factory price¡± will not be accepted, unless otherwise specified. The ¡°Partner¡± and ¡°Customer¡± shall accept in the company to be eligible, after paying the ¡°Factory price¡±, deliver the goods from the ¡°Company¡±. When the ¡°Partner¡± shows around the ¡°customer¡± to review the Company, the ¡°Company¡± shall be responsible for the entertainment. The ¡°Partner¡± undertakes the products transportation, insurance and instillation and other site charges, the ¡°Company¡± has the rights to know the installation and debugging and other technical supports. The purchasing and sales contract of products signed by the ¡°Partner¡± who is authorized by ¡°Company¡± enjoys the 12% commission likewise. 5. Contract expiry: This contract may be terminated at any time. ¢Å After mutual agreement, any party can terminate this contract in written prior to 30 days. ¢Æ If the ¡°Partner¡± is in the position of inability to offset debts with assets or entering its procedure, bankruptcy and relevant litigation procedure. ¢Ç If the ¡°Partner¡± can not reach the Min. sales amount approved by both parties or default the ¡°Company¡± ¡¯s monetary grants and can not be paid prior to 30 days after receiving the written urgency, the ¡°Company¡± can terminate this contract. ¢È Any party of non-continuation can relieve this contract after submitting the written materials prior to 60 days at least. ¢É If the contract is terminated duo to the loss and compensation, the ¡°Company¡± have to not provide any compensation for ¡°Partner¡± who also shall waiver its rights. ¢Ê After terminating this contract, the ¡°Partner¡± can not continue to use the business name, brand and copyright related with the ¡°Company¡± and also shall eliminate all advertisings and promotion materials related with the ¡°Company¡±. The ¡°Company¡± has the rights to repurchase its products stocked or purchased by ¡°Partner¡± by the same price sold to ¡°Partner¡±, Under this contact, the ¡°Company¡± can deduct the arrearages of ¡°Partner¡± from the its purchased value. If the ¡°Company¡± can not repurchase products, the ¡°Partner¡± can treat the remained products of ¡°Company¡± in 12 months by the normal business method after terminating the contract. 6. Confidential information The ¡°Partner¡± can not use and disclose the any intellectual property right related with company, branch and member to the third party for the purpose not specified on the contract without the written approval during the effective period or within 10 years after terminating the contract, unless this intellectual property right belongs to: ¢Å Public scope and be subject to print publication (2) be known by ¡°Partner¡± and subject to the bibliography of ¡°Partner¡± before telling the ¡°Partner¡± by the ¡°Company¡±. ¢Ç obtained in the public on the condition of no ¡°Partner¡± ¢È Obtained form the third party. The ¡°Partner¡± shall refund all the written and printed data related with intellectual property rights of Company 7£®Name, patent, brand and copyright of the Company Upon the former approval of company or within the effective period of contract, the ¡°Partner¡± only can use the name, patent, brand and copyright, trade name and intellectual property rights information of the Company (Hereafter referred to as intellectual property rights). The usage of intellectual property rights after approved by ¡°Company¡± does not mean the transfer of these patents, and for the intellectual property rights shall be used out of the contract scope. ¢Å The usage of proprietary rights related with all any patent, copyright, commercial name. property rights information and other intellectual property rights of ¡°Company¡± shall be in favor of the interest of ¡°Company¡± and will not provide any property rights for ¡°Partner¡±, The ¡°Partner¡± can not register any such patent, copyright, commercial name, property rights information and other intellectual property rights and also will not use them within the scope authorized by ¡°Company¡± specially, and can not register and use some names, symbols and marks confused and resembled with the ¡°Company¡± ¡¯s. ¢Æ For the invention within the contract period, the ¡°Partner¡± shall inform the ¡°Company¡± of any amendment and improvement. Before amendment and improvement, the ¡°Partner¡± shall obtain the written approval of ¡°Company¡±. Within the contract period, the ¡°Company¡± reserves the property rights of products after amendment conducted by ¡°Partner¡±, the ¡°Company¡± can decide by its to take the proper steps to the changed products, like the patent application, registration or application of legal protection. Within the contract period, as the return of new patents caused by products improvement of ¡°Company¡± conducted by partner, the ¡°Company¡± will approve to exempt from the taxes. (3) For the development and improvement of products, the ¡°Company¡± will be engaged in the research and development work of products to improve products and develop the new products actively. When improving, changing and adding the products, the ¡°Company¡± will inform the ¡°Partner¡± immediately. If the ¡°Partner¡± does not sell the improved products, the ¡°Company¡± has the rights to choose another partner to sell the improved products in the sale area of ¡°Partner¡±. (4) If the contract is terminated due to whatever reason, the ¡°Partner¡± shall stop to use all patents, brands, commercial name, property rights information and other intellectual property rights at once, and take the complete actions to treat the materials related with patents, brands, commercial name, property rights information and other intellectual property rights of company under the hand of ¡°Partner¡± as per the demand and requirement of ¡°Company¡±. 8. Plead The specific equipment project can evaluate the purchasing and sale contract, which shall be executed as per the ¡°Economical Contract Law¡±. 9. Guarantee and damage restriction The ¡°Company¡± shall promise that the products involved in this contract can satisfy the standard provided by ¡°Company¡±, the products forwarded can not violate the any patent of third party, and the products purchased by ¡°Partner¡± can satisfy the ¡°Plan and sale condition¡±. 10. Tax The ¡°Company¡± and ¡°Partner¡± shall pay all taxes, charges or other tax payable. (1) The taxes parable by¡± Company¡±: the ¡°Company¡± shall pay the various taxes, charged and other charge payable imposed by government department before the goods are delivered to ¡°Partner¡±. ¢Æ The taxes parable by ¡°Partner¡±: The ¡°Partner¡± shall pay the various taxes, charged and other charge payable imposed by government department after the goods are delivered to ¡°Customer¡±. 11. Transfer The ¡°Partner¡± can not transfer this contract, of which change of control rights shall be taken as a kind of contract transfer. 12. Notice All notices, acceptance and other communications shall be written, mailed or delivered as per the address provided in this contract, after filing, they shall be taken as the opposite party submitted. 13. Force majeure Any party will not delay responsibility caused by incorrect operation due to the force majeure other than the self miss or error. In this contract, the force majeure includes the following: ÉñÁ¦, resolution, laws and regulations of relevant government, war, internal trouble, materials, warehouse facilities and production damage, strike, epidemic disease caused by fire, earthquake, snow storm , issue occurred by relevant public servant and public transportation, embargo or raw material not obtained. 14. Complete contract This contract includes complete contract related with the all parties of relevant products and substitutes for the all former contracts, which only can be modified in written. 15. Applicable law: This contract is restricted by China ¡°Economical Contract Law¡±. Any litigation and disputing only can be conducted in the court belong the company place, both parities shall comply with the judgment of court. 16. Abandonment If the ¡°Company¡± can not carry out the some articles of this contract successfully, the execution of whole articles by the ¡°Company¡± can not be influenced.
